TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, platforms, distribution services, publishing services, educational programs, and related business operations provided by Apprise Music & Media (“Apprise Music”, “we”, “us”, or “our”).

By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

2. ELIGIBILITY

You must be at least 18 years of age and legally capable of entering binding contracts to use our services. By using the services, you represent that you meet these requirements.

If you use the services on behalf of a company, label, or organization, you confirm that you have authority to bind that entity.

3. SERVICES PROVIDED

Apprise Music provides services that may include:

Digital music distribution
• Publishing administration
• Rights management
• Content monetization
• Music business education and training
• Promotional and marketing support
• Technology platforms and tools

Services may change, expand, or be discontinued at any time.

4. ACCOUNT RESPONSIBILITY

You are responsible for maintaining accurate account information and safeguarding login credentials.

You are responsible for all activity occurring under your account.

5. CONTENT SUBMISSION AND OWNERSHIP

You retain ownership of your content.

By uploading or submitting content, you grant Apprise Music a non-exclusive, worldwide, royalty-enabled license to:

Host and store content
• Distribute content to digital service providers
• Reproduce, stream, communicate, and make content available to the public
• Perform administrative and royalty collection functions
• Promote and market content
• Use artwork, metadata, and associated materials for service delivery

This license remains in effect for as long as the content is distributed through our services.

6. RIGHTS AND WARRANTIES

You represent and warrant that:

You own or control all rights necessary to grant licenses described in these Terms
• Your content does not infringe intellectual property rights
• Your content does not violate laws or third party rights
• All metadata and ownership information is accurate
• Required clearances and permissions have been obtained

You accept full responsibility for claims arising from submitted content.

7. ROYALTIES AND PAYMENTS

Revenue generated from distribution and monetization will be paid according to applicable agreements and platform reporting.

Payments may be subject to:

Minimum payout thresholds
• Processing fees
• Taxes and withholding requirements
• Platform reporting schedules
• Verification and compliance checks

You are responsible for providing accurate payment information.

8. PROHIBITED USE

You must not:

Upload unauthorized or infringing content
• Manipulate streams or engage in artificial activity
• Distribute malware or harmful code
• Misrepresent ownership or identity
• Interfere with service operation
• Violate applicable law

Apprise Music may remove content or suspend accounts for violations.

9. CONTENT MODERATION AND TAKEDOWN

We may remove or disable access to content that violates law, policy, or third party rights.

Copyright Complaints (DMCA and equivalent)

Notices must include:

Identification of the copyrighted work
• Identification of infringing material
• Contact information of complainant
• Good faith statement
• Accuracy declaration
• Signature of rights holder or authorized agent

Counter-notifications may also be submitted.

10. PRIVACY AND DATA PROTECTION

Personal data is processed in accordance with the Apprise Music Privacy Policy.

By using the services, you consent to data practices described in that policy.

11. DATA PROCESSING RELATIONSHIP

Where Apprise Music processes personal data on your behalf, such processing is governed by a Data Processing Agreement incorporated into applicable service contracts.

12. SERVICE AVAILABILITY

We strive to maintain reliable service but do not guarantee uninterrupted access.

Maintenance, updates, and technical issues may affect availability.

13. TERMINATION

You may terminate your account subject to contractual obligations.

Apprise Music may suspend or terminate access if:

Terms are violated
• Legal requirements apply
• Fraud or misuse is suspected
• Service risk arises

Upon termination, licenses necessary for continued distribution may remain active for processing and platform removal periods.

14. REFUNDS

Fees are non-refundable unless required by law or expressly agreed in writing.

15. INTELLECTUAL PROPERTY OF PLATFORM

All platform software, design, trademarks, and technology belong to Apprise Music or licensors.

No ownership is transferred to users.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Apprise Music shall not be liable for:

Indirect or consequential damages
• Loss of revenue or profits
• Platform outages
• Third party platform actions
• Unauthorized access beyond reasonable control

Total liability shall not exceed fees paid for services within the previous twelve months.

17. INDEMNIFICATION

You agree to indemnify and hold Apprise Music harmless from claims arising from:

Your content
• Your legal violations
• Breach of these Terms
• Intellectual property disputes

18. FORCE MAJEURE

Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, government action, war, or infrastructure failure.

19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of:

Ghana for services provided through the Ghana entity
• The State of Wyoming, United States, for services provided through the U.S. entity

Disputes shall be resolved through negotiation first, followed by mediation or arbitration where permitted by law.

20. CHANGES TO TERMS

We may update these Terms periodically. Continued use of services after updates constitutes acceptance.

21. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any service agreements, form the complete agreement between parties.
